By-Laws of Edirunion

BYLAWA OF EDIRUNION 

ARTICLE 1. Articles of Incorporation 

Section 1. The name of the organization is Edirunion, Inc. The address of the Edirunion is located in the City of Fairview in the state of Texas. the organization has not been formed for the making of any profit, or personal financial gain. The assets and income of the organization shall not be distributable to, or benefit the Advisory Council or Executive Board of the Edirunion.

Section 2. The Edirunion shall not carry on any activities not permitted to be carried on by an organization exempt from federal income tax. The organization shall not endorse, contribute to, work for, or otherwise support (or oppose) a candidate for public office. The organization is organized exclusively for purposes subsequent to section 501(c)(3) of the Internal Revenue Code.

Section 3. These bylaws are subject to the Articles of Incorporation of Edirunion, Inc. dated 06-14-2023, setting forth that the corporation is organized exclusively for charitable, religious, educational, and scientific purposes. 

ARTICLE 2. The Members Obligation and Membership Fee. 

Section 1. The Edirunion shall have only one class of members. No member shall hold more than one membership in the union. All members shall have the same rights, privileges, restrictions and conditions. 

Section 2. All Ethiopians and any person of Ethiopian heritage or their spouses are eligible to be members of Edirunion. 

Section 3. Members’ Relocation. Members who relocate to other locations can retain their membership as long as they abide by the Bylaws of Edirunion.

Section 4. Right of Members. Members shall have the right to attend and vote at all general and special meetings of members, to nominate and vote for, to be a candidate for the Board of Directors of the Edirunion, to be an officer of the union, to propose candidates for membership in the union. The right of a member to vote and all his or her rights, title, and interest in the Edirunion shall cease on the termination of membership. 

Section 5. Termination of Membership. (1st Amend.) a. A member can be terminated from the Edirunion for nonpayment of the Edirunion’s membership fee, and/or noncompliance with the Edirunion’s bylaws (the “membership terms”). b. A member whose membership has been terminated can be reinstated upon a majority vote by the Board of Directors. In order to seek reinstatement of his/her membership, the member shall pay all outstanding dues/fees and penalties within ninety (90) days of the termination effective date. if they are in breach of the membership terms after having been reinstated, their membership will be terminated indefinitely

Section 6. A Member will not get financial benefit if he/she has not been a member for a year. 

 If a death occurs in a member’s family from the date he/she was registered, the EdirUNION will serve the mourners dinner for one night and console and support them for 3 (three) days. If a member stays in his/her membership for one year fulfilling his/her membership obligations, and if death occurs, he/she will get $5,000.** (five thousand) dollars. from 2 – 3 years $7,500.** (seven thousand five hundred dollars). 3 years and more will get  $10,000.** (ten thousand) dollars.  

The Obligation of the Member

1. Paying regular membership dues on time. 

2. When a member dies, unless there is an unforeseen circumstance, each member of the Edirunion should be present at the mourning, burial service or at the farewell service of the member body before it will be transported to the final resting destination. Members are not obliged to attend if the service is out of the organization location. 

3. When a member passes away, another member who has the information is responsible for informing the Edirunion.

4. If there is a newborn in the family or a child whose age is below 24 joins the family, the child can be a member by paying a one-time registration fee of $100.00. Note: This does not apply to members who already registered with a child/children.  

5. The membership due is $120.00 a year. A member has an option to pay $60 twice a year.

6. If the Edirunion account balance is less than $50,000.** (fifty thousand dollars) and if a member dies, then the members will be requested to pay additional contribution. 

Article 1. Disciplinary Actions 

A warning by email will be given first to a member who does not fulfill his/hers obligations. A member is said to have not fulfilled his/hers obligations if a year has passed without paying the membership dues. If a member skips two years of payments he/she will be removed from the Edirunion in understanding that he/she cancelled the membership on a voluntary basis. 

The Rights of the Member

A. Anybody who accepts the bylaws and regulations of the EdirUNION can be a member.

C. If a death occurs in a member’s family from the date he/she was registered, the EdirUNION will serve the mourners dinner for one night and console and support them for 3 (three) days. If a member stays in his/her membership for one year fulfilling his/her membership obligations, and if death occurs, he/she will get $5,000.** (five thousand) dollars. from 2 – 3 years $7,500.** (seven thousand five hundred dollars). 3 years and more will get  $10,000.** (ten thousand) dollars.  

Article 2.  The Address and Establishment

 1. The address of the Edirunion is located in the City of Fairview in the state of Texas.  2. The Edirunion is a nonprofit organization that was established according to the law of the state of Texas. 3. The Edirunion was established for an indefinite period of time. 

Article 3. The Objective 1. To provide financial assistance for funeral services or for transporting the body of a member of the Edirunion.  2. To disseminate information to the members of the Edirunion of the death of a member.  3 To coordinate and assign the tasks associated with the death of a member.  4. To encourage members to be present in the mourning for consoling the surviving family members of the deceased member.  5. To provide the necessary information about funeral services or for transporting the body of a deceased member to the family members.  6. Any other objective that is believed to be necessary for the usefulness of the members may be added. 

Article 4. Definition  1. Edirunion of Texas means EdirUNION. 2. A member is a person who was registered upon the acceptance of the bylaws of EdirUNION and who is fulfilling or has fulfilled his membership obligations.  3. A family equates to the spouse of the member and his children who are registered as members of the Edirunion and whose ages are under 18.

 The Income of the EdirUNIONMembership fee – A member with his family, (husband and wife and with their children whose ages are under 18) pays $60.00 at least every six months or $120 a year. Donations (donations may be obtained from donors or from the organizations.

ARTICLE 3. Officers

Section 1. The Officers of Edirunion shall be a Chair, a Treasurer, a Secretary, and such other officers as the Board may determine. The officers shall be elected at a regular meeting of the Board. Edirunion may also have an Executive Director. The Chair, Treasurer, and Secretary shall be elected annually by the Board at a regular Board meeting. Other officers may be chosen by the Board at such meeting or at any other meeting.

Section 2. Chair. The Chair shall preside at all meetings of the Board and shall perform all duties as may be required by law or the Articles of Incorporation. The Chair shall have such other powers and perform such other duties as the Board may from time to time designate.

Section 3. Treasurer. The Treasurer shall be responsible for conducting the financial affairs of the organization as directed and authorized by the Board and shall make reports of corporate finances as required, but no less often than at each Board and Executive Committee meeting.

Section 4. Secretary. The Secretary shall give notice of all meetings of the Board and shall keep an accurate list of the Board members, including the Officers, and shall have the authority to certify any records, or copies of records, as the official records of the organization. The Secretary shall maintain the minutes of the Board meetings.

ARTICLE 4. Objectives of Edirunion.

The objective of Edirunion help cover/support our community in financial relief in a time of losing a loved one.

Section 1. The name of the organization is Edirunion Inc. The assets and income of the organization shall not be distributable to, or benefit the Advisory Council or Executive Board of the Edirunion.

ARTICLE 9.  Amendment of Bylaws

The bylaws may be altered, amended, or repealed at a regular meeting of Advisory Council by a 2/3 of majority vote

 of all the members represented in person, provided that the proposed action is inserted into the notice of such a meeting.

ARTICLE 10. Dissolution

Edirunion, Inc. may be dissolved only on the authorization of the Advisory Council given at a special meeting called for that purpose, and with the subsequent approval by no less than two-thirds (2/3) vote of the members. In the event of the dissolution of the organization all liabilities and obligations shall be paid. remaining assets after paying off all debts shall be distributed for one or more to charitable and educational organization, organized under Section 501(c)(3) of the Internal Revenue Code.
